    The Council is structured to ensure independence, credibility, and effective advisory engagement without operational interference.

    Independent Advisors

    Council members are selected for their independent technical expertise and are not employees or officers of the institution. Independence ensures objectivity, reduces conflicts of interest, and strengthens the credibility of advisory recommendations. Advisors serve in a personal capacity based on their professional knowledge and experience.

    Periodic Review Cadence

    The Council convenes on a structured periodic basis — typically quarterly — with additional sessions convened as warranted by significant technology developments, strategic decisions, or institutional requests. Review cadence is designed to provide timely input without creating operational burden.

    Reporting Relationship to Board

    The Council reports its findings, assessments, and recommendations to the Board of Directors through formal written reports and periodic briefing sessions. This reporting structure ensures advisory input reaches governance-level decision-making while maintaining clear separation between advisory and executive functions.

    Non-Operational Oversight Role

    The Council's role is explicitly non-operational. Advisors do not participate in day-to-day management decisions, contract execution, or personnel matters. The advisory function is limited to strategic technology assessment, risk awareness, and long-term institutional perspective. This boundary preserves both independence and operational agility.
